End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and DailyPoints ("Company," "we," "us," or "our") for the use of the DailyPoints mobile application ("Application" or "App").

BY DOWNLOADING, INSTALLING, OR USING THE APPLICATION, YOU AGREE TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT DOWNLOAD, INSTALL, OR USE THE APPLICATION.

1. License Grant

Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Application on iOS devices that you own or control, solely for your personal, non-commercial use.

2. License Restrictions

You agree not to:

• Copy, modify, or distribute the Application
• Reverse engineer, decompile, or disassemble the Application
• Rent, lease, lend, sell, or sublicense the Application
• Remove any proprietary notices from the Application
• Use the Application for any commercial purpose without our consent
• Use the Application in any way that violates applicable laws
• Circumvent any security features of the Application

3. Intellectual Property

The Application and all copies thereof are proprietary to the Company and title thereto remains in the Company. All rights in the Application not specifically granted in this Agreement are reserved to the Company. The Application is protected by copyright and other intellectual property laws and treaties.

4. User Content

You retain all rights to any content you create, upload, or store using the Application ("User Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, process, and display your User Content solely for the purpose of providing and improving the Application's services.

5. Third-Party Services

The Application uses Apple's iCloud service for data storage and synchronization. Your use of iCloud is subject to Apple's terms and conditions. We are not responsible for the availability, reliability, or security of third-party services.

6. Updates and Changes

We may from time to time develop and provide Application updates, which may include upgrades, bug fixes, patches, and other error corrections and/or new features (collectively "Updates"). Updates may also modify or delete features and functionality. You agree that we have no obligation to provide any Updates or to continue to provide any particular features or functionality.

7. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE APPLICATION IS WITH YOU.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE APPLICATION, EVEN IF THE COMPANY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your use of the Application or violation of this Agreement.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Application and delete all copies from your devices.

11. Export Compliance

You may not export or re-export the Application except as authorized by United States law and the laws of the jurisdiction in which the Application was obtained.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States, excluding its conflicts of law rules.

13. Severability

If any provision of this Agreement is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

14. Entire Agreement

This Agreement constitutes the entire agreement between you and the Company regarding the Application and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties.
